Small Business Software Programs: Invoice 101, Finance 101, Documents 101, Help System 101 ... are licensed, not sold, to you by Programs 101 for use only under the terms of this License. Programs 101 reserves any rights not expressly granted to you by this agreement.

1. RESTRICTIONS

You may not rent, lease, loan, sell, distribute, sub license, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based upon Programs 101 Software Programs or any part thereof except as may be expressly permitted herein.

2. GENERAL LICENSE

You may install and use one copy of Programs 101 Software Programs for one business, company, organization, establishment, location or individual. To "use" means that Programs 101 Software Programs are either loaded in the temporary memory (i.e., RAM) of a computer or installed on the permanent memory of a computer (i.e., hard disk, etc.).

3. BACKUP & PORTABILITY

You may install and use one copy of Programs 101 Software Programs on a second computer solely for portability purposes of a single set of data and records. You may also make multiple copies of the Programs 101 Software Programs solely for backup purposes of a single set of data and records.

4. NETWORK OPTION

If you purchased a Network Option of any Programs 101 Software Programs; as an alternative to the rights granted in section 2., you may install one copy of optioned Programs 101 Software Programs on one network server device and allow access within your business, company, organization, establishment or location over a common private network.

5. PROGRAM DEVELOPER OPTION

If you have been provided full access passwords by purchasing a Program Developer Option from Programs 101; you may modify and adapt the optioned Programs 101 Software Programs for use in noncompetitive, non-similar solutions you develop for commercial distribution. Copied portions or modifications you make to Programs 101 Software Programs are considered derivative works. You may not in any way distribute derivative works which are similar to, or compete with any commercially distributed Programs 101 Software Programs. If derivative works are created or integrated into software for distribution or use by any other party, you must apply due diligence to protect the source code and assign limited access passwords only.

6. LIMITS OF LIABILITY

Programs 101 Software Programs are provided "as is" and without warranty of any kind. Programs 101 and its proprietor expressly disclaim all other warranties, expressed or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Under no circumstances shall Programs 101 or its proprietor be liable for any lost revenue, profit, or data, or for any consequential, incidental, indirect, special or punitive damages however caused and regardless of the theory of liability arising from the use or inability to use Programs 101 Software Programs, even if Programs 101 or its proprietor have been advised of the possibility of such damages. In no event shall Programs 101 or its proprietor’s liability exceed the license fee paid, if any.

This Agreement shall be governed by the laws of the State of Washington. If for any reason a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.

This Agreement may be terminated by Programs 101 immediately and without notice if you fail to comply with any term or condition of this Agreement. Upon such termination, you must immediately destroy all complete and partial copies of the Database Software Solutions, including all backups.
